1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and KarmaChic Marketplace LLC, a Florida limited liability company operating at karmachicmp.com and related subdomains including sellers.karmachicmp.com (“KarmaChic,” “we,” “us,” or “our”). KarmaChic is based at 603 E. Jackson #1031, Tampa, FL 33602, US.
These Terms govern your access to and use of the KarmaChic website, mobile-optimized site, community hub, and all related content, features, and services (collectively, the “Services”), whether you are browsing as a visitor, purchasing as a customer (“Buyer”), or listing and selling as an independent seller (“Brand Partner”).
By accessing or using the Services, creating an account, submitting an order, or registering as a Brand Partner, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.
If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that entity, and “you” refers to that entity as well as you individually.
2. What KarmaChic Is, and What It Is Not
KarmaChic is a multi-vendor marketplace. We provide the storefront, hosting, discovery tools, marketing support, and (for Brand Partners) subscription plans and growth resources described on the Site. Products, services, and resale or consignment items listed on the Site are offered by independent Brand Partners, not by KarmaChic, except for items expressly sold under a KarmaChic house brand (e.g., “KarmaChic Merch”), if any.
Because Brand Partners operate independently of KarmaChic:
• Each Brand Partner is solely responsible for the accuracy of its listings, pricing, descriptions, images, inventory, taxes, licensing, and legal compliance for the products and services it offers.
• KarmaChic does not manufacture, inspect, warehouse (except where a Brand Partner uses a fulfillment integration), or take title to most items sold through the Site.
• KarmaChic does not guarantee the quality, safety, legality, or fitness of any Brand Partner’s products or services, and does not endorse any Brand Partner by including them on the Site.
• Nonprofit and charity listings are provided as a courtesy; KarmaChic does not verify 501(c) status beyond the documentation it requests at onboarding and is not a party to any donation or transaction with a listed nonprofit.
3. Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account, make a purchase, or register as a Brand Partner. At account creation you must affirmatively confirm that you meet this requirement. The Services are not directed to, and are not intended for use by, anyone under 13. If you are between 13 and the age of majority, you may browse the Site only with the involvement of a parent or guardian and may not create an account or transact without their consent.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at info@karmachicmp.com of any unauthorized use. We may suspend or terminate accounts that provide false information, violate these Terms, or are inactive or fraudulent.
4. Buyers: Orders, Payment, and Fulfillment
When you place an order, you are entering into a sales transaction directly with the Brand Partner offering that item, not with KarmaChic, except where KarmaChic is expressly identified as the seller. KarmaChic facilitates checkout, payment processing (through Shopify and its payment partners, including the card networks and digital wallets displayed at checkout), and order routing to the applicable Brand Partner.
You agree to provide accurate billing, shipping, and contact information, and authorize KarmaChic and its payment processors to charge your selected payment method for the full order total, including applicable taxes and shipping.
Shipping timelines, delivery methods, and service scheduling are set by the individual Brand Partner and may vary by listing. KarmaChic is not responsible for delays, loss, or damage in shipping or service delivery caused by a Brand Partner or a third-party carrier, though we will assist in good faith to help resolve issues through the case system described in Section 5.
5. Returns, Refunds, and Buyer and Brand Partner Disputes
Our general Refund Policy describes the baseline process: if an item is not as described or arrives damaged, you may open a case through our case system, and we will work with you and the Brand Partner toward a resolution.
KarmaChic’s role in dispute resolution between a Buyer and a Brand Partner is limited to good-faith mediation through the case system. We do not guarantee a particular outcome and are not liable for a Brand Partner’s refusal or inability to provide a refund, replacement, or repair.
6. Brand Partners: Listing and Selling on KarmaChic
This Section 6 applies to you if you register as a Brand Partner (including product-based sellers, service professionals, resale/consignment sellers, and nonprofit partners).
6.1 Onboarding and Your Storefront
Brand Partner registration and storefront management take place through our seller portal at sellers.karmachicmp.com, operated with the assistance of our multi-vendor marketplace technology provider. By registering, you also agree to any separate Brand Partner or vendor agreement, onboarding terms, or policies presented to you in that portal, which supplement (and, in the event of conflict specific to seller operations, control over) these Terms.
You represent that you have the legal right to sell the products or offer the services you list, that your listings are accurate and not misleading, and that you hold all licenses, permits, and insurance required for your category (for example, food and beverage, health and wellness, or spa/salon services).
6.2 Subscription Plans, Billing, and Automatic Renewal
Brand Partner plans are described at karmachicmp.com. Paid plans are billed on a recurring monthly basis and automatically renew each month until cancelled, at the price and interval disclosed to you at signup. Scale Support is an agency service that is not sold through the subscription checkout; its scope and price are quoted and agreed in writing before any work begins.
Before you provide payment information, we will clearly disclose: (a) that the plan renews automatically, (b) the amount and frequency of the recurring charge, and (c) how to cancel. By subscribing, you give separate, affirmative consent to these automatic renewal terms, consistent with California’s Automatic Renewal Law and similar laws in other states.
• You may cancel a paid plan at any time, online, through your seller dashboard, without having to call or take any additional step, effective at the end of the then-current billing period unless otherwise stated.
• We will send an email confirmation when you subscribe, summarizing the plan, price, billing frequency, and cancellation method.
• Fees already paid are non-refundable except as required by law or as we otherwise agree in writing.
• One-time charges, including the $99 fee, are not themselves subject to automatic renewal.
• We may change subscription pricing prospectively upon reasonable advance notice; continued use of a paid plan after a price change takes effect constitutes acceptance of the new price.
No Brand Partner plan currently includes a free trial, and all plans are month to month. KarmaChic does not currently offer annual or other multi-month subscription terms. Cancellation is fully self-service in the Brand Partner dashboard and requires no call, email, or other additional step.
6.3 Fees, Payouts, and Taxes
KarmaChic does not charge sales commissions on the plans currently advertised; your obligation is limited to your subscription fee. You are solely responsible for determining, collecting, and remitting any sales, use, or other transaction taxes owed on your sales, except to the extent a marketplace facilitator law requires KarmaChic (through Shopify) to collect and remit tax on your behalf in a given jurisdiction, in which case KarmaChic’s processor will do so and you authorize the corresponding deduction or collection.
Payouts to Brand Partners are processed weekly, on Fridays, through our payment and marketplace technology partners. You are responsible for providing accurate payout account information and for any fees your bank or payment provider charges you.
6.4 Termination of Brand Partner Status
We may suspend or remove a listing, storefront, or Brand Partner account for violation of these Terms, repeated unresolved Buyer complaints, fraud, safety concerns, or failure to pay subscription fees when due, with notice where practicable. You may close your storefront at any time; outstanding orders must still be fulfilled or properly refunded.
7. User Content and the Community Hub
The Services may let you post product reviews, community posts, profile information, photos, or other content (“User Content”) through the Site or the Community Hub. You retain ownership of your User Content, but you grant KarmaChic a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, display, and distribute it in connection with operating and promoting the Services.
You are solely responsible for your User Content. Do not post anything that is false, defamatory, infringing, harassing, discriminatory, obscene, or that discloses another person’s private information without consent. We may remove User Content and suspend accounts that violate this Section or Section 8.
8. Acceptable Use
You agree not to:
• Use the Services for any unlawful purpose or to sell counterfeit, stolen, recalled, or prohibited goods;
• Scrape, harvest, or use automated means to extract data from the Site without our written consent;
• Interfere with or disrupt the Services, introduce malware, or attempt to gain unauthorized access to any account or system;
• Circumvent the marketplace to induce a Buyer or Brand Partner to transact outside the Site in a way that evades applicable fees, safety mechanisms, or these Terms;
• Impersonate any person or entity or misrepresent your affiliation; or
• Use the Services in a way that infringes any intellectual property or other right of KarmaChic or a third party.
9. Intellectual Property; Copyright (DMCA) Notices
The Site, including its design, text, graphics, logos, and the “Karma Framework™” and related marks, is owned by or licensed to KarmaChic and is protected by intellectual property laws. Brand Partners retain ownership of their own brand names, logos, and product content, and grant KarmaChic a license to display that content on the Site for marketplace and promotional purposes.
If you believe content on the Site infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to our designated agent:

Our designated agent is registered with the United States Copyright Office under registration number DMCA-1079625. We will respond consistent with the Digital Millennium Copyright Act, including removing or disabling access to infringing material and notifying the accused party. Notices that do not substantially comply with 17 U.S.C. § 512(c)(3) may not be effective.
10. Third-Party Links and Services
The Site links to and integrates third-party sites and services, including Brand Partner social media, the Growth Academy, Substack, our live shopping and streaming provider, the YouTube, Facebook, and Instagram channels our broadcasts are streamed to, and our payment providers. We do not control and are not responsible for third-party content, policies, or practices. Your use of any third-party service is governed by that third party’s own terms.
11. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL PRODUCTS AND SERVICES LISTED BY BRAND PARTNERS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KARMACHIC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY BRAND PARTNER’S PRODUCTS OR SERVICES WILL MEET YOUR EXPECTATIONS.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, KARMACHIC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES OR ANY TRANSACTION WITH A BRAND PARTNER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. KARMACHIC’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KARMACHIC (NOT TO A BRAND PARTNER) IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
This limitation does not apply to liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or death or personal injury caused by KarmaChic’s own negligence.
14. Indemnification
You agree to indemnify and hold KarmaChic harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your breach of these Terms; (b) your User Content; (c) if you are a Brand Partner, your products, services, listings, or fulfillment; or (d) your violation of any law or third-party right.
15. Dispute Resolution; Binding Arbitration; Class Action Waiver
Please read this section carefully. It affects your legal rights.
15.1 Informal Resolution First. Before filing a claim against KarmaChic, you agree to first contact us at info@karmachicmp.com and attempt in good faith to resolve the dispute informally for at least 30 days.
15.2 Agreement to Arbitrate. If we cannot resolve a dispute informally, you and KarmaChic agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures then in effect (or, for claims exceeding $250,000, its Comprehensive Arbitration Rules and Procedures), rather than in court, except that either party may bring an individual claim in small claims court if it qualifies. The arbitration will be held in Hillsborough County, Florida, or another location in or near the Tampa, Florida area, or, at either party's election, remotely by video or telephone conference.
15.3 Class Action Waiver. You and KarmaChic agree that any arbitration or proceeding will be conducted only on an individual basis and not as a class, collective, or representative action. The arbitrator may not consolidate more than one person’s claims.
15.4 Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to info@karmachicmp.com within 30 days of first agreeing to these Terms, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved as described in Section 16.
15.5 Carve-Outs. Either party may seek injunctive or other equitable relief in court to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
16. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where a dispute is not subject to Section 15, in which case the parties consent to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida.
17. Term; Suspension; Termination
These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time for violation of these Terms or for operational or legal reasons, with notice where practicable. Sections that by their nature should survive (including Sections 9, 11 through 16, 18, and 19) survive termination.
18. Changes to These Terms and the Services
We may update these Terms from time to time. If we make material changes, we will update the “Last Updated” date and, where required by law, provide additional notice (such as an email or on-site banner). Continued use of the Services after changes take effect constitutes acceptance. We may also modify, suspend, or discontinue any part of the Services at any time.
19. Miscellaneous
• Entire Agreement. These Terms, together with the Privacy Policy and any Brand Partner or seller-portal agreement, constitute the entire agreement between you and KarmaChic regarding the Services.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
• No Waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
• Notices. We may provide notice to you via the email associated with your account or by posting on the Site.
20. Additional Legal FAQs
20.1 How do vendors register and list products?
Prospective Brand Partners register by creating an account through our seller portal at sellers.karmachicmp.com. After registering, Brand Partners can list products or services by providing accurate descriptions, pricing, and images. See Section 2 (What KarmaChic Is, and What It Is Not) and Section 6 (Brand Partners: Listing and Selling on KarmaChic) above for the terms that apply to Brand Partners.
20.2 What are the payment options, and what is the processing duration?
KarmaChic accepts Visa, Mastercard, American Express, Discover, and Diners Club, as well as Apple Pay, Google Pay, and Shop Pay. We do not accept PayPal. Brand Partner payouts are processed weekly, on Fridays. See Section 4 (Buyers: Orders, Payment, and Fulfillment) above for how orders and payment processing work on the marketplace.
20.3 What is the return and refund policy?
Each Brand Partner has its own return and refund policy. Buyers should review these policies before purchasing. If an item is not as advertised or arrives damaged, a Buyer may seek a return or refund through our case system under our Refund Policy. See Section 5 (Returns, Refunds, and Buyer and Brand Partner Disputes) above.
20.4 How does KarmaChic keep data secure?
KarmaChic does not sell your personal information for money. We do allow our advertising partners to collect limited information about your activity on the Site through advertising pixels, which some state privacy laws treat as “sharing,” and you may opt out at any time using the “Do Not Sell or Share My Personal Information” link in the Site footer. We do not maintain a separate customer database of our own. Personal information collected through the Site is stored and secured by the platforms we use to operate the marketplace, including Shopify and our payment processor, which apply industry-standard security controls including encryption in transit and at rest. We disclose personal information to third parties only as described in our Privacy Policy. No system is perfectly secure, and we cannot guarantee absolute security.
20.5 What is the process for resolving Buyer and Brand Partner disputes?
If a problem occurs, Buyers should first contact the Brand Partner directly to try to resolve the issue. If the issue is not resolved, our case system can mediate and help reach a resolution. This process is consistent with the Dispute Resolution provisions in Section 15 (Dispute Resolution; Binding Arbitration; Class Action Waiver) above.
